Terms of service

Effective Date: July 6, 2026.

These Terms of Service (the “Terms”) govern your access to and use of the website stonessitesurveys.ca (the “Website”) and all products and services offered by Stones Site Surveys & Consultation (“we”, “us”, “our”, or “Stones”). By accessing the Website or purchasing any Products or Services, you (“you”, “your”, or the “User”) agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Stones, enforceable in accordance with the Electronic Commerce Act, 2000 (Ontario) and applicable Canadian law. Please read them carefully.


1. Definitions

In these Terms, the following capitalized terms have the meanings set out below:

“Consultation” means one-on-one advisory consultation services provided by Stones relating to site survey processes, signage industry practices, and related matters, conducted by telephone or secure video conference.

“Customer” or “User” means any individual or entity that accesses the Website, purchases Products, or engages Services.

“Materials” means all content, documents, templates, training materials, guides, and other intellectual property made available through the Website or Services.

“Privacy Policy” means the privacy policy of Stones, as posted on the Website and amended from time to time.

“Products” means the downloadable digital site survey templates and other digital products offered for sale through the Website.

“Services” means, collectively, the Training and Consultation services provided by Stones.

“Templates” means the digital site survey templates designed to assist signage companies in gathering and organizing site information for estimating, project planning, manufacturing, and installation purposes.

“Training” means pre-recorded instructional video series provided by Stones relating to the use of the Templates and site survey best practices, delivered electronically via the Website following purchase.

“Website” means the website located at https://www.stonessitesurveys.ca, including all subdomains and pages thereof.


2. Acceptance of Terms

2.1       By accessing the Website, placing an order, completing a purchase, or otherwise using any Products or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2.2       If you do not agree to these Terms, you must not access the Website or purchase any Products or Services.

2.3       We reserve the right to refuse service to any person, subject to applicable law.


3. Eligibility

3.1       You must be at least the age of majority in your province or territory of residence (18 or 19 years of age, depending on the jurisdiction) to use the Website or purchase Products or Services.

3.2       If you are using the Website or purchasing Products or Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to “you” shall include both you personally and the entity you represent.


4. Nature of Products and Services

4.1       Stones provides the following:

a)      Digital site survey templates designed to assist signage companies in gathering, organizing, and documenting site information for use in estimating, project planning, manufacturing, and installation;

b)      A pre-recorded instructional video series on the effective use of the Templates and site survey best practices; and

c)      One-on-one consultation services relating to site survey processes and signage industry practices, conducted by telephone or secure video conference.


4.2       The Products and Services are designed as structured guidance tools to promote consistency, clarity, and completeness in site survey processes. They are based on extensive signage industry experience.

4.3       The Products and Services are informational and organizational tools only. They do not constitute professional engineering, architectural, structural, electrical, regulatory, or legal advice and shall not be construed as such. They are not a substitute for the independent professional judgment of qualified personnel. All Products and Services are used entirely at the Customer’s own risk.

4.4       The Templates are not intended to be exhaustive. No Template or set of Materials can guarantee identification of all relevant site conditions, hazards, or variables at any given location. Stones does not warrant that the use of its Products or Services will result in accurate, complete, or compliant outcomes. On-site verification by appropriately qualified personnel remains the sole responsibility of the Customer.

4.5       Stones does not perform physical site surveys on behalf of Customers. Customers purchase Templates and use them within their own organizations, employing their own qualified personnel.


5. User Responsibility

5.1       The Customer is solely responsible for:

a)      verifying all field conditions at each site;

b)      ensuring the accuracy of all measurements, data, and information collected;

c)      ensuring compliance with all applicable building codes, zoning regulations, electrical codes, health and safety legislation, and any other applicable laws or regulations;

d)     deploying qualified and appropriately trained personnel to carry out site surveys and related work; and

e)      exercising independent professional judgment in all site-related decisions.

5.2       The Customer acknowledges that every site presents unique conditions, and that the Templates are process guides that do not replace the need for qualified, on-the-ground assessment.


6. Intellectual Property

6.1       All Templates, documents, training materials, course content, website content, and other Materials are the exclusive property of Stones Site Surveys & Consultation and are protected by Canadian copyright law and applicable international intellectual property laws.

6.2       Subject to your compliance with these Terms, Stones grants you a limited, non-exclusive, non-transferable, revocable licence to use the Products solely for your own internal business purposes within your organization.

6.3       You may not:

a)      resell, sublicence, or redistribute any Products or Materials to any third party;

b)      share, distribute, or make available any Products or Materials to persons or entities outside your organization;

c)      modify any Product or Material and resell or distribute the modified version;

d)     upload, post, or make available any Products or Materials on any public or shared platform, intranet, or file-sharing service accessible by third parties; or

e)      remove or alter any proprietary notices, watermarks, or attributions contained in the Products or Materials.


6.4       Any unauthorized use, reproduction, or distribution of the Products or Materials constitutes a material breach of these Terms and may give rise to legal action, including claims for injunctive relief and damages.


7. Payment Terms

7.1       All prices listed on the Website are in Canadian dollars (CAD) and are exclusive of applicable taxes, including Harmonized Sales Tax (HST).

7.2       Payment is required in full at the time of purchase and prior to delivery of any Product or commencement of any Service. All payments are processed through a third-party payment processor (currently Shopify Payments), and Stones does not directly collect or store your payment card information.

7.3       Digital Products are delivered electronically following receipt of payment.

7.4       If you experience a technical issue that prevents you from accessing or downloading a digital Product following purchase (such as a broken download link or corrupted file), please contact us at the address set out in Section 19. Stones will make reasonable efforts to resolve the issue and facilitate delivery. Stones is not responsible for delivery failures attributable to the Customer’s own equipment, software, internet connection, or email settings.

7.5       Prices are subject to change without notice. The price charged will be the price in effect at the time of order placement.


8. Refund Policy

8.1       All sales of digital Products are final. Once a digital Product has been delivered to the Customer, no refund will be issued.

8.2       Exceptions may be considered at the sole and absolute discretion of Stones.

8.3       For Consultation appointments, rescheduling and cancellation are subject to the provisions set out in Section 9 below. No refund will be issued for a forfeited Consultation session.

8.4       Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies to which the Customer may be entitled under the Consumer Protection Act, 2002 (Ontario) or any other applicable consumer protection legislation that cannot be excluded by agreement.


9. Training and Consultation

9.1       Training is delivered in the form of a pre-recorded instructional video series. Access to the Training videos is provided electronically following purchase. Training is not a live or scheduled session and is not subject to the rescheduling provisions set out in this Section 9.

9.2       Consultation appointments are scheduled upon purchase, at a time mutually agreed between the Customer and Stones. Consultation is conducted by telephone or secure video conference.

9.3       A Consultation appointment may be rescheduled once, provided the Customer gives Stones at least forty-eight (48) hours’ advance written notice prior to the scheduled appointment time. Notice must be provided by email to the address set out in Section 19.

9.4       If the Customer fails to provide at least forty-eight (48) hours’ advance notice or fails to attend a scheduled Consultation appointment without prior notice, the appointment shall be deemed forfeited and no further rescheduling shall be permitted for that session.

9.5       Consultation services are advisory in nature only. Advice and recommendations provided during Consultation are general guidance and do not transfer any liability from the Customer to Stones.

9.6       The Customer remains solely responsible for all decisions and actions taken following or based upon any Training or Consultation.


10. Disclaimer and Limitation of Liability

Nothing in this Section 10 excludes, restricts, or modifies any non-excludable right or remedy you may have under applicable Canadian law, including provincial consumer protection statutes. If you are a Customer in Québec acting for personal, family, or household purposes, the provisions of this Section 10 shall be interpreted in accordance with the Civil Code of Québec and the Consumer Protection Act (Québec), and do not limit the legal warranty.

Disclaimer

10.1     THE PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COMPLETENESS, ACCURACY, OR SUITABILITY FOR ANY PARTICULAR APPLICATION.

Limitation of Liability

10.2     To the maximum extent permitted by applicable law, the total aggregate liability of Stones to any Customer for any and all claims arising out of or in connection with these Terms, any Product, or any Service shall not exceed the amount actually paid by the Customer to Stones for the specific Product or Service giving rise to the claim.

10.3     In no event shall Stones be liable for any:

a)      indirect, incidental, special, consequential, exemplary, or punitive damages;

b)      loss of profits, revenue, data, or business opportunities;

c)      business interruption;

d)     cost of substitute goods or services; or

e)      any damages whatsoever arising from or related to the use or inability to use any Product or Service,

regardless of the cause of action or the theory of liability (whether in contract, tort (including negligence), strict liability, or otherwise), even if Stones has been advised of the possibility of such damages.

Savings Clause

10.4     Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; or (d) any other liability that cannot be lawfully excluded or limited under the laws of the Province of Ontario or the federal laws of Canada applicable therein.

10.5     To the extent that any provision of this Section 10 is held to be unenforceable under the Consumer Protection Act, 2002 (Ontario) or any other applicable consumer protection legislation, such provision shall be limited or modified to the minimum extent necessary to comply with such legislation, and the remaining provisions shall continue in full force and effect.


11. Indemnification

11.1     To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Stones Site Surveys & Consultation, and its owner, from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

a)      your use or misuse of any Product or Service, including any Template;

b)      improper or inaccurate site data collection by you or your personnel;

c)      your failure to verify field conditions or ensure compliance with applicable laws and regulations;

d)     your breach of any provision of these Terms; or

e)      your violation of any applicable law or the rights of any third party.

11.2     This indemnification obligation does not apply to claims arising solely and directly from the ordinary permitted use of a Product or Service in strict accordance with these Terms, where such claim results exclusively from a defect in the Product or Service itself. Nothing in this Section 11 requires a Customer acting for personal, family, or household purposes to indemnify Stones for the ordinary, permitted use of the Products or Services, and nothing in this Section 11 relieves Stones of any liability that cannot be excluded or limited by applicable law.


12. Privacy

12.1     Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is available on the Website and is incorporated into these Terms by reference.

12.2     We handle all personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and any other applicable Canadian federal or provincial privacy legislation.

12.3     By using the Website or purchasing Products or Services, your personal information will be collected, used, and disclosed in accordance with our Privacy Policy.


13. Electronic Communications

13.1     By providing your email address or other contact information, you consent to receive transactional communications from Stones, including order confirmations, delivery notifications, and service-related updates.

13.2     Stones will only send commercial electronic messages with your consent, in compliance with Canada’s Anti-Spam Legislation (CASL). Stones may send product updates to existing Customers on the basis of an existing business relationship, as permitted by CASL.

13.3     You may withdraw your consent to receive commercial electronic messages at any time by using the unsubscribe mechanism provided in each such communication or by contacting us at the address set out in Section 19.


14. Acceptable Use of the Website

14.1     You agree to use the Website only for lawful purposes and in accordance with these Terms.

 14.2     You may not: (a) use the Website in any way that violates any applicable federal, provincial, or local law or regulation; (b) attempt to gain unauthorized access to any part of the Website, its servers, or any systems connected to the Website; (c) use any automated means, including robots, crawlers, or scrapers, to access, collect, or download content from the Website without our prior written consent; (d) introduce any viruses, malware, or other harmful code to the Website; or (e) interfere with or disrupt the operation of the Website or any servers or networks connected to it.

14.3     We reserve the right to suspend or terminate your access to the Website if we reasonably believe you have violated this Section 14.

14.4     The Website may contain links to third-party websites or resources. Stones provides these links for convenience only and does not endorse or assume any responsibility for the content, products, services, or practices of any third-party websites. Your use of any third-party website is at your own risk and subject to that website’s terms and conditions.


15. Accessibility

15.1     Stones is committed to providing an accessible Website in accordance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and the Integrated Accessibility Standards Regulation (Ontario Regulation 191/11).

15.2     If you experience any difficulty accessing any part of the Website or require information in an alternative format, please contact us at the address set out in Section 19 and we will make reasonable efforts to accommodate your request.


16. Modifications to Terms

16.1     Stones reserves the right to modify, amend, or update these Terms at any time, at its sole discretion.

16.2     Any changes to these Terms will be posted on the Website with an updated effective date. Where practicable, we will provide notice of material changes by email or by a prominent notice on the Website prior to such changes taking effect. It is your responsibility to review these Terms periodically.

16.3     Your continued use of the Website or any Product or Service following the posting of revised Terms constitutes your acceptance of such changes.

16.4     Orders placed and fully completed prior to the effective date of any amendment shall remain subject to the Terms in effect at the time of purchase.


17. Governing Law and Disputes

17.1     These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

17.2     In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith informal negotiation for a period of not less than thirty (30) days.

17.3     If a dispute cannot be resolved through informal negotiation, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto.

17.4     Nothing in this Section 17 shall limit or restrict any statutory rights available to you as a consumer under the laws of your province or territory of residence.

17.5     The Products and Services are offered from the Province of Ontario, Canada. Customers located outside Canada who access the Website or purchase Products or Services do so on their own initiative and are solely responsible for compliance with all applicable local laws of their jurisdiction. Stones makes no representation that the Products, Services, or Website are appropriate or available for use in any particular jurisdiction outside Canada.


18. Miscellaneous

18.1     Entire Agreement. These Terms, together with the Privacy Policy, any order confirmations, invoices, and service agreements, constitute the entire agreement between you and Stones with respect to the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether written or oral.

18.2     Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provisionshall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18.3     Assignment. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Stones. Stones may assign its rights and obligations under these Terms in connection with a sale, merger, reorganization, or other transfer of its business, without your consent.

18.4     No Waiver. The failure of Stones to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Stones to be effective.

18.5     Force Majeure. Stones shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet disruptions, or labour disputes.

18.6     No Agency or Partnership. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employer-employee relationship between Stones and the Customer. Neither party has any authority to bind the other in any respect.

18.7     Survival. Any provisions of these Terms that by their nature are intended to survive termination or expiration shall so survive, including without limitation Sections 4, 5, 6, 10, 11, 12, 14, and 17.
